General information

Brinkhof is an internationally oriented law firm established in Amsterdam, the Netherlands, which conducts its business in the legal form of a public limited liability company under Dutch law (“naamloze vennootschap”) under the name Brinkhof N.V. (hereinafter: “Brinkhof”).

Brinkhof’s lawyers provide specialised services. They focus on technology, communications and market regulation. Clients are assisted in industries such as electronics, pharma, medical devices, IT, media, Internet, telecommunications, and biotechnology. In these areas, which are international by nature, we advise and litigate with regard to patents, trademarks and designs, product and market regulation, competition, IT/sourcing, copyrights and privacy. Engagement / Assignment

It is Brinkhof’s aim to handle a matter entrusted to us as well and as efficiently as possible and to make clear arrangements to that effect beforehand. That is why prior to accepting an assignment of services as a rule we send you a letter (“engagement letter”) for your signature, containing hourly rates and other business information tailored to the proposed matter, as well as a copy of this brochure which includes our general conditions.

Conflicts of interest

In order to avoid any conflict of interest, before accepting an engagement we check if we are free to represent the (potential) client in question. For the same reason we ask our (potential) clients to inform us of the names of (potential) adverse parties.

The fact that the client has entrusted us with handling a matter does not oblige the client to also entrust Brinkhof with handling any new or further matters it may have. By the same token Brinkhof will be free to accept assignments from third parties and to represent the relevant clients against the interests of the client; the latter of course always provided that the later matter is not related to the earlier matter and that Brinkhof does not possess confidential information regarding the client which may be of relevance.

Fee calculation

Brinkhof will take care to always charge reasonably for its services under the circumstances. To that end Brinkhof charges a fee that, in principle, is calculated by multiplying the number of hours worked on the matter by the lawyers involved by the rates applicable to those lawyers.

These rates depend on the relevant field of law, and on the experience and degree of specialisation of the lawyers involved. Hourly rates are adjusted yearly.

Other costs and invoicing method

In accordance with our general conditions the amount of our fees is increased with a 6% surcharge for office expenses such as communications, reproduction, and delivery expenses.

All external costs incurred by Brinkhof in carrying out an engagement will be charged as disbursements without any surcharge. If such costs are particularly high in any one month, we may send an invoice at such time.

Any external advisers (e.g. patent attorneys, trademark attorneys, experts) contacted by us with your permission in the course of this assignment will contract directly with the client and invoice the client directly.

In principle we invoice on a monthly basis. VAT will be added when appropriate. Payment must be made by bank wire transfer. In accordance with our general conditions the payment period is 14 days unless we have agreed otherwise.

In some cases we will require that an advance payment is transferred to us, for example if the client is new, or if it is foreseeable that a significant number of hours will have to be worked in a relative short time period, or in other cases we deem appropriate.

General Conditions

General conditions apply to the provision of services by Brinkhof. Our general conditions are available via www.brinkhof.com/gc.

These general conditions include the provision that Dutch law is applicable and that the Courts of Amsterdam have exclusive jurisdiction over any disputes regarding our services. The general conditions also contain a limitation of our professional liability. Under that provision, our liability for any loss resulting from our services will, in principle, be limited to the amounts for which our professional liability insurance provides coverage.

The area covered by this insurance is the entire world. The most relevant insured amounts are: €5 million per claim with a maximum of €10 million per year. For claims filed in the United States and Canada the amount per claim is €2.5 million per claim and per insurance year as part of the aggregate insured amount.

Our professional liability insurer is Allianz.
